Members: Arlynn Abramson, Chair; Ed Black; David Israel; Howard O’Brien; George Pittell; Ruth Dreiss; Joyce Reiss; Stewart Richland; Joy Vestal; Barbara Cornish; David Saxon; David Israel; and Anita Buchanan.

Arlynn convened the meeting at 9am. August 23 minutes were corrected to properly spell “Pittell” and to add David Boas to the attendees list. The committee agreed that, in the interests of transparency, David would email draft edits from each meeting via Information Forward so delegates have a chance to be aware of proposed changes before they are published in the UCO Reporter in advance of the Delegate vote.

The following proposed changes to Amendments to the Bylaws of United Civic Organization, Inc. were approved unanimously by the members at this meeting. (The complete bylaw is not stated below, just the changed language within as highlighted in red or strikethrough. Some small typos are corrected in Bylaws but not reflected here.) The edits:

Article III F.      Alternate Delegates of the Board of Directors.  “…No Alternate Delegate shall have the  right  to  participate vote  on  any  matter  before  the  Delegates,  unless  the  Alternate Delegate is acting in place of an absent Delegate.  A Delegate is considered absent if he or she is not present during sign-in roll call.”

Article III G. Postponement of Vote. “… A motion to postpone a vote on any matter before the Delegates, if seconded and voted by a majority of the Delegates, shall result in postponement to the next Delegate Meeting. A postponement, as outlined by this Section G, must be taken up by the Delegate Assembly as Old Business at the next regular meeting.  No further postponements of a vote on the same matter are permitted.” [Review of III G at next meeting]

Article III H.  Delegate Voting; Abstention. The A vote or abstention by each Delegate or Alternate Delegate present shall be recorded in the minutes.”

Article III I.   Conduct of the Meeting. “All Board meetings shall be conducted in accordance with the procedures under the guidelines set forth in the Articles of Incorporation and Bylaws, and in accordance with Robert’s Rules of Order...”

Article III I 1.  With respect to any topic or issues raised at the meeting, each member of the Delegate Assembly is entitled to a reasonable period of time, as determined by Delegate Assembly rules… A Delegate’s discussion shall be without interruption from any member of the Delegate Assembly and the Delegate may speak once before any other Delegate shall be heard for a second time.”

Article III I 2.After all each members of the Board has have had an opportunity to present their his views, the President may recognize any Delegate who desires to speak further…”

Article III K.                      Minutes. All meetings of the Board of Directors shall be audio recorded by the Recording Secretary or other authorized officer.

Article IV L.  Delegate, Executive Board and Officer Criminal Offenses. A Delegate or Alternate Delegate, Officer or member of the Executive Board convicted charged by information or indictment with of a felony theft or embezzlement offense involving UCO funds or Property or a Member’s funds or pProperty…” [Section to be reviewed at next meeting and potentially moved to Article 7]

Article V A.  Powers. [Section to be reviewed to distinguish between powers of delegates vs. officers/executive board]

Article V B 5. To cause all Officers, Volunteers and Employees having fiscal responsibilities to be covered by appropriate insurance.

Article V I B.      3. Term. Should any vacancy which occurs during the first year of the two-year term… said vacancy shall be filled… shall fill the vacancy or vacancies for the remainder of the unexpired term, subject to ratification by the Delegate Assembly. [Review at next meeting]

Article VI C.  Eligibility.  A candidate or appointee, in order to be eligible to serve as a member of

the Executive Board, must… declare his or her readiness to serve on at least two (2) committees if invited by the Chair; and…”

Article VI D.   Powers. “The Executive Board shall constitute the Executive Committee” as defined by Statute 617- Corporation Law the Act and have and and may exercise the power of the Delegate Assembly when…”

At next meeting review will continue with latest edition of Roberts Rules. Review will begin with more attention to Articles III G, III L, IV L and V A.

Arlynn set the next meeting for Tuesday, October 11 at 9 am in the UCO conference room. The meeting was adjourned at 10:45am.
